Board Member Description & Duties

 

The Board of Directors is the policy‐making body of the Lake Zurich Area Chamber of Commerce that encompasses individuals with governance, leadership and strategy experience. It represents a broad cross-section of the business and professional leadership in the community. It is considered an honor to serve as a member of the Chamber Board. Proven, genuine unselfish interest in the Chamber, its mission and objectives are the first and most important criteria for being a member of the Board.

Responsibilities:

  • Attend all monthly board meetings. I understand that failure to attend three (3) consecutive board meetings without prior approval by the President is cause for dismissal from the board.
  • Come prepared to discuss the issues and business to be addressed at scheduled meetings, having read the agenda, financial documents, and additional relevant background material as provided.
  • Identify trends, issues, opportunities, and challenges facing the business community and membership that may deserve the attention of the board.
  • Oversee the assigned committee or skill area and keep the board informed of progress and goals.
  • To regularly attend events and participate in sponsorship opportunities.
  • Seek out and recruit future leaders to govern the organization and serve on committees.
  • Seek out and recruit no less than three (3) new members to the organization during my term in office.
  • Pay a $75 quarterly fee that will cover my board meeting lunches.

Duties:

  • Become familiar with the organization’s governing documents: Mission & Vision Statement, Bylaws and Policies, Strategic Plan, Annual Goals, Budget, and positions so that I can be an informed representative when called upon.
  • Maintain confidentiality of information received for governance and decision-making.
  • Observe the rules of order and display courteous conduct in all board and committee meetings and
    respect the views and opinions of others serving on the board.
  • Always act in a positive and supportive manner and in the best interest of the organization, the
    membership, leadership, volunteers, and staff.
  • Avoid conflicts of interest between my position as a board member and my professional and
    personal life. If such conflict does arise, I will declare that conflict and refrain from voting in such
    matters.
  • To comply with local, state, and federal laws and to protect the interests and property of the
    organization.
  • Support in a positive manner all actions taken by the board of directors even when I am in a minority position on such actions.
